Terms of Service

In brief

  • Your library is yours. You keep ownership of everything you upload.
  • Don’t abuse the service. No scraping, no malware, no infringing content.
  • Disputes are settled by arbitration. Read section 7 carefully if that matters to you.

These Terms of Service (the “Terms”) form a binding agreement between you and Spectrality Works LLC (“Spectrality,” “we,” or “us”) and govern your use of the Spectrality website and reading service (the “Service”).

1. The service

Spectrality is a private library for the documents you upload. We process those documents to render them as beautiful, reflowable text and serve them back to you on your devices. We provide the platform; you provide the content.

2. Your account

You must be at least 13 years old to create an account. You are responsible for keeping your password secure and for any activity on your account. Tell us promptly at support@spectrality.works if you suspect unauthorized access.

3. Your content

Ownership

You retain full ownership of every document you upload and every annotation, highlight, or note you add. We claim no ownership of your content.

License to operate the service

To run the service, you grant us a limited, non-exclusive, royalty-free license to host, copy, render, index, and display your uploaded content — solely for the purpose of providing the service to you. This license ends when you delete the content or close your account.

Responsibility

You are responsible for ensuring you have the right to upload and process the content you put into the service. Don’t upload anything that infringes copyright you don’t hold or license, violates someone’s privacy, or breaks any law.

4. What you may not do

To keep the service usable for everyone, you agree not to:

  • Upload viruses, malware, or other harmful payloads.
  • Scrape, crawl, or use automated tools to access the service without our written permission.
  • Attempt to disrupt, overload, or circumvent the security of the service.
  • Reverse-engineer or attempt to extract the source code of the service.
  • Use the service for anything illegal, or to harass, abuse, or harm others.

5. Copyright and DMCA

We respect copyright. If you believe content on the service infringes a copyright you hold, send a notice to legal@spectrality.works with the information required by 17 U.S.C. § 512(c)(3). We will respond promptly and may remove the content or terminate the responsible account.

6. Limitation of liability

READ THIS CAREFULLY. TO THE FULLEST EXTENT PERMITTED BY LAW, SPECTRALITY WORKS LLC AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) USD 100.

7. Governing law and disputes

Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

Binding arbitration

Any dispute arising out of these Terms or the service will be resolved by binding arbitration in New York County, New York, before a single arbitrator under the rules of the American Arbitration Association. Either party may seek injunctive relief in court to compel arbitration or enforce an award.

No class actions

Disputes will be resolved on an individual basis only. You and Spectrality each waive the right to participate in a class action, class arbitration, or representative proceeding.

8. Termination

You may close your account at any time. We may suspend or terminate your access if you breach these Terms or use the service in a way that creates risk for us or for other users. On termination, we will give you a reasonable window to export your library before deletion.

9. Changes to the service or these Terms

We may modify the service or these Terms over time. Material changes to the Terms will be announced in the service or by email before they take effect. Continuing to use the service after changes take effect means you accept them.

10. General

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Spectrality regarding the service.
Severability. If any provision is held unenforceable, the rest of the Terms remain in effect.
No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
